TERMS & PROJECT GUIDELINES

CLEAR TERMS. CLEAR PROCESS. BETTER PROJECTS.

These Terms & Conditions explain how I work with clients, how projects are started and managed, what is included in an agreed scope, and how payments, revisions, approvals and final delivery are handled.

Last Updated: September 2026

1. ABOUT THESE TERMS

These Terms & Conditions apply to services provided by Sharad A. Maurya, an independent freelance Graphic & Web Designer and Digital Creative Specialist.

By requesting a quotation, approving a proposal, making a payment or asking me to begin work, you acknowledge that you have read and understood the applicable project terms.

The specific scope, deliverables, timeline and payment terms for your project will normally be confirmed through a quotation, proposal, invoice or written project communication.

I provide creative and digital services that may include:

  • Brand Identity & Logo Design
  • Graphic Design
  • Website Design
  • WordPress & Elementor Design
  • UI / UX Design
  • E-commerce Design
  • Digital Creative
  • Corporate Design
  • Website & Content Support
  • Related creative services agreed with the client

The exact services included in a project will depend on the agreed scope.

WORK STARTS AFTER PROJECT CONFIRMATION.

Before starting a project, the following should normally be confirmed:

  • Project requirements
  • Scope of work
  • Deliverables
  • Estimated timeline
  • Payment terms
  • Required client materials
  • Any specific confidentiality requirements

The agreed advance payment must be received before project work begins, unless a different arrangement has been agreed in writing.

An advance payment confirms the client’s intention to proceed and allows the project to be scheduled.

FOCUSED WORK. DIRECT COMMUNICATION.

My working model is designed around focused project delivery.

Where the agreed schedule permits, I aim to work on one active client project at a time rather than unnecessarily dividing attention across multiple projects.

This allows me to maintain better focus on:

  • Design quality
  • Communication
  • Project requirements
  • Revisions
  • Deadlines
  • Final delivery

The exact project schedule may depend on project size, client response times, revisions and other previously scheduled commitments.

Every project is based on an agreed scope.

The scope may include:

  • Number of concepts
  • Number of pages
  • Number of design items
  • Number of revisions
  • Required file formats
  • Development requirements
  • Specific features
  • Delivery requirements

Anything not included in the agreed scope may be treated as additional work and may require a revised quotation or additional payment.

Estimated timelines are provided based on the information available when the project is planned.

The timeline may change when:

  • Project requirements change.
  • Additional work is requested.
  • Client feedback is delayed.
  • Required content or files are not provided on time.
  • Multiple revision rounds are requested.
  • Third-party services cause delays.
  • Technical issues outside my reasonable control occur.

I will communicate significant changes to the expected timeline where reasonably possible.

The client is responsible for providing the information and materials reasonably required to complete the project.

This may include:

  • Logo files
  • Text/content
  • Images
  • Product information
  • Brand guidelines
  • Website access
  • Hosting information
  • Domain information
  • Business information
  • Required approvals

The client is responsible for ensuring that materials supplied to me can legally be used for the project.

Design concepts are created according to the agreed project brief.

The number of concepts and revisions included in a project will depend on the agreed quotation or proposal.

Additional revisions or substantial changes outside the agreed scope may require additional charges.

A revision means a reasonable adjustment to an existing direction.

A completely new direction, concept or substantially changed requirement may be treated as additional work.

Client approval is an important part of the project process.

When a client approves a design, page, concept or deliverable, that approval may be treated as confirmation to proceed to the next stage.

Clients should carefully review approved work before giving final approval.

Once final approval has been provided, substantial changes may require additional work or charges.

For website and development projects, the agreed scope may cover design, development, content implementation, responsive adjustments and other agreed functionality.

Third-party services may be required for certain website functions, including:

  • Hosting
  • Domain services
  • Plugins
  • Themes
  • Payment gateways
  • Email services
  • APIs
  • External integrations

Third-party costs are normally separate unless specifically included in the agreed project quotation.

I am not responsible for permanent availability, pricing or functionality of third-party services that I do not control.

The client is responsible for providing content that they have the legal right to use.

This may include:

  • Text
  • Images
  • Videos
  • Fonts
  • Product photographs
  • Logos
  • Documents
  • Copyrighted materials

Where third-party materials are required, the client may be responsible for obtaining the necessary licences or permissions unless otherwise agreed.

Payment terms are agreed before the project begins.

Unless otherwise agreed:

Advance Payment → Project Work → Approval → Remaining Balance → Final Delivery

The remaining balance becomes payable according to the agreed payment terms.

Final editable/source files, website transfer details or other final deliverables may be released after the applicable balance has been received, where this forms part of the agreed payment arrangement.

If a client cancels or pauses a project after work has started, payment for work already completed may remain payable.

An advance payment may not automatically be refundable because project time, planning and creative work may already have been committed.

If a project is paused for an extended period because required information, feedback or payment is not received, the project schedule may need to be rescheduled.

Any cancellation or refund will be handled according to the applicable project agreement and Refund Policy.

Ownership and usage rights for final deliverables will depend on the agreed project terms and payment status.

Unless otherwise agreed:

  • Final approved deliverables are provided for the client’s agreed business use after applicable payment has been completed.
  • Unused concepts and rejected design directions remain part of the creative development process.
  • Working files, editable source files or original project files are provided only when included in the agreed scope or specifically purchased.
  • Third-party assets remain subject to their respective licences.

I may wish to display completed work as part of my professional portfolio.

However, confidential, NDA-protected or restricted projects will not intentionally be published without appropriate permission.

If a project requires complete confidentiality, the client should communicate this before the project begins.

Where permission is granted, portfolio presentation may include selected project visuals or a description of the work.

YOUR PROJECT. YOUR INFORMATION. YOUR PRIVACY.

I understand that business projects may contain confidential information.

I aim to handle client information and project materials privately and responsibly.

Where required, I can discuss additional confidentiality requirements or an NDA before work begins.

My freelance working model also allows me to provide direct communication and focused project handling without unnecessarily distributing project information across a large team.

Timely feedback helps keep projects moving.

Clients are encouraged to provide consolidated and clear feedback wherever possible.

Repeatedly changing previously approved requirements may affect:

  • Timeline
  • Project scope
  • Cost
  • Delivery schedule

Important project decisions and approvals should preferably be provided in written communication so that both parties have a clear project record.

I will make reasonable efforts to complete projects according to the agreed schedule.

However, I cannot be held responsible for delays caused by circumstances reasonably outside my control, including:

  • Hosting problems
  • Domain issues
  • Third-party service outages
  • Internet or technical failures
  • Client delays
  • Missing content
  • Delayed approvals
  • Third-party integrations
  • Force majeure events

Where possible, I will communicate significant issues and work toward a reasonable solution.

I aim to provide professional creative and digital services according to the agreed scope.

However, I do not guarantee specific business results, sales, rankings, leads, conversions or financial outcomes unless a specific written agreement expressly states otherwise.

Website performance, search rankings, advertising results and other external outcomes can depend on factors outside my direct control.

If you have any questions regarding these Terms & Conditions, your project scope, payment terms or working process, please contact me before starting the project.
